By accessing or using the SkilledOS mobile application and web platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including organization administrators, team members, and any other users granted access to the platform.

2. Description of Service

SkilledOS is a field service management platform that provides tools for:

• Job scheduling and management
• Time tracking and attendance
• Team coordination and communication
• Client management and customer portals
• Photo documentation and reporting
• Invoicing and payment processing

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains current and accurate

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription and Payment

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred. Fees are non-refundable except as required by law or as expressly stated in these Terms.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access to the Service until then.

You are solely responsible for Your Content and must ensure you have the right to upload and share it. We do not endorse or verify any user content.

7. Intellectual Property

The Service, including its design, features, code, and branding, is owned by SkilledOS Inc. and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, mapping services). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLEDOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SkilledOS, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Austin, Texas.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and SkilledOS regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
